New briefing paper: SEC Acts on JOBS Act: Title II Implementation and Potential Market Impact
This new briefing paper, by Wolters Kluwer Principal Analyst Jim Hamilton, discusses new regulations relating to Title II of the JOBS Act.
On July 10, the SEC adopted regulations that end the ban on general solicitation and advertising under Rule 506 of Regulation D. The SEC also amended Securities Act Rule 144A to provide that securities may now be offered to persons other than qualified institutional buyers (QIBs) with certain restrictions. Jim reviews these changes and discusses how the market might both react and be affected.

On June 26, 2013, the U.S. Supreme Court ruled on the constitutionality of DOMA and a related case challenging California’s ban on same-sex marriage. What’s the quickest way to retrieve Securities Releases when I know the citation?
You can use the Citations command within the IntelliConnect tool bar for a fast and easy way to retrieve Securities Releases if you have the correct citation. Here are the IntelliConnect action steps:
- Click Citations command in the gray tool bar
- Click to expand the +Securities (Federal) topic
- Click the topic: SEC Releases and Other Materials
- Enter the citation into the proper template. (For Releases, enter the Act year or initials in the 1st box and the specific release # in the 2nd box.)
- Click GO
Below are some examples:
- Securities Act Releases: 33–5306
- Exchange Act Releases: 34–3230
- Public utility holding company (repealed): 35–25746
- Trust Indenture Act Releases: 39–2287
- Investment Company Act releases: IC–5024
- Investment Advisers Act releases: IA–3221

TIP: You can also conduct a word search for an SEC Release, e.g., Release No. 33-5306, to retrieve the cited document plus all other documents containing a reference to that Release. In this example there were 54 other documents besides the Release itself that were returned.
